  3. No Unauthorized Use. You may not copy, modify, distribute, sell, or exploit any part of the Services without our prior written permission.

USER REPRESENTATIONS

By using the Services you warrant that:

  • You are at least the age of majority in your jurisdiction.

  • All information you provide is accurate and up to date.

  • You will not use bots, scrapers, or other automated means.

  • Your use will comply with all applicable laws.

PROHIBITED ACTIVITIES

Do not (for example):

  • Harvest data to build your own shop.

  • Upload malware, spam, or anything obscene or defamatory.

  • Interfere with network security or attempt to gain unauthorized access.

  • Pretend to be someone else (imposters are so last decade).

Violation may result in suspension, termination, and possible legal action.

USER-GENERATED CONTENT & LICENCE

If the Services ever allow reviews, comments, or other content (“Contributions”):

  • Your Rights. You retain ownership.

  • Our Rights. You grant us a worldwide, royalty-free licence to use, display, and adapt your Contributions for operating and promoting the Services.

  • Your Responsibility. You promise your Contributions are lawful, original (or properly licensed), and non-infringing.

SERVICE MANAGEMENT

We reserve the right (but not the obligation) to monitor, remove, or edit content; impose limits; and take any action necessary to keep the Services secure and enjoyable.

TERM & TERMINATION

These Terms remain in force while you use the Services. We may suspend or terminate your access at any time, without notice, for any breach or for any reason at our sole discretion.

MODIFICATIONS & INTERRUPTIONS

We strive for 24/7 availability but can’t promise it. Planned maintenance, internet hiccups, or gremlins may cause interruptions. We will not be liable for downtime or content changes.

GOVERNING LAW

These Terms and any dispute arising hereunder are governed by the laws of the State of California, without regard to conflict-of-law principles.

DISPUTE RESOLUTION

  1. Informal Resolution. Before formal proceedings, the parties must attempt good-faith negotiations for 60 days.

  2. Binding Arbitration. If unresolved, disputes will be settled by final, binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

  3. Class Action Waiver. Disputes must be brought individually; no class or representative actions.

Some matters (IP infringement, unauthorized access, etc.) may still be brought in a court of competent jurisdiction.

Typos happen. We may correct errors, update information, or revise prices at any time without notice.

DISCLAIMER

The Services are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

LIMITATION OF LIABILITY

In no event shall Lacadella or its officers, employees, or agents be liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. Our aggregate liability shall not exceed the greater of (a) USD 100 or (b) the amount you paid us in the past 12 months.

INDEMNIFICATION

You agree to defend and indemnify Lacadella against any claims, damages, or expenses (including attorneys’ fees) arising out of your: (a) use of the Services; (b) breach of these Terms; or (c) violation of any law or third-party right.

DATA HANDLING

We maintain reasonable security measures and backups, but you are solely responsible for preserving your own data. See our Privacy Policy for details.

ELECTRONIC COMMUNICATIONS

You consent to receive notices and disclosures electronically. Electronic signatures and records satisfy all legal requirements for written documents.
